​Terms & Conditions Community Groups
DaisyChain Legacy Publishing ("DaisyChain) offers publishing consulting, project management, editorial, design, illustration, marketing and distribution services (the “Services”). The terms and conditions listed below (the "Terms") govern the purchase and use of the Services, and form part of the legally binding contract between DaisyChain and the person or legal entity purchasing services from DaisyChain (the "Client"). Clients accessing or using services on behalf of a community group represent and warrant that the individual named as Project Coordinator in the Agreement to Purchase Services (the "Agreement") has the legal authority to act and sign on behalf of the company/group also named in the Agreement. The Client and the Project Coordinator may be the same person and in this Agreement, the “Client” refers to both the Client and the Project Coordinator without reservation .
Clients signing an Agreement acknowledge that doing so enters them into a legally binding contract with DaisyChain. The Agreement is subject to the terms and conditions set out in this document. Any Clients or potential Clients with questions or concerns should reach out to a DaisyChain team member at daisychainlegacypublishing@gmail.com before signing the Agreement.

1. Purchase of Services
​
DaisyChain agrees to provide Services set out on any Agreement signed by a Client and upon receipt of payment. Refer to Appendix A for detailed descriptions of the services offered by DaisyChain. Clients are encouraged to read descriptions of Services prior to signing an Agreement. Additional services or obligations will be entered into by DaisyChain and its Clients only via written amendment to the Agreement and receipt of any additional payments. Refer to Appendix B for detailed descriptions and fees pertaining to additional services.
DaisyChain works in direct partnership with the Client’s nominated Project Coordinator, who markets the project via email marketing, posters in house, information on website(s) and social networks to solicit authors and obtain commitment to participate in a collaborative memoir publication. Once commitments are received by a minimum of 10 participants, DaisyChain will invoice each individual author for the Services. After all payments are received, the Project Coordinator becomes eligible for a complimentary chapter in the publication for the Community Group they are a part of.
DaisyChain conducts the interviews, collates the stories, and completes publication of the Book. A completed Book contains between 10 to 15 chapters of between 3000 to 5000 words each.
2. Duration of Agreements

An Agreement is deemed to commence when DaisyChain receives payment from a Client. An Agreement is deemed to terminate at the completion of Services provided or by other means agreed to in writing by the parties. Refer to Section 14 below for details on early termination of Agreements.

3. Intellectual Property Rights
​
In the delivery of Services, the Client may be required to provide intellectual property to DaisyChain. Such property shall be referred to as the "Materials". The Materials may include, but are not limited to, manuscripts, documents, written content, images, illustrations, graphic designs, audio recordings, and video recordings. Subject to the limited licence set out in Section 4 below, the Client retains ownership and legal copyright of the Materials. The following terms govern the use of the Materials:
A. Manuscripts And Documents
Any manuscripts or documents created by DaisyChain will be kept in confidential digital folders during the delivery of Services. Upon completion of Services, DaisyChain will provide the Client with digital copies of its manuscripts and documents and will either destroy or retain its own copies, per the instruction of the Client. Daisychain will return any physical documents and images provided by the Client.
B. Illustrations, Images and Recordings
All illustrations, images, graphics, and recordings will be stored in confidential digital folders during the delivery of Services. The Client will own the copyrights to all final versions of created Materials, and may grant usage to the individual book authors at its discretion. Upon the completion of Services, created Materials will be provided to the Client for storage or redistribution. DaisyChain will destroy or retain its own copies per the instruction of the Client.
C. Design and Layout
DaisyChain owns the copyright to the final version of the cover design and interior layout to the works it publishes. DaisyChain reserves the right to grant designers of such covers and layouts the ability to use the designs in their portfolios solely for the purpose of showcasing projects they have worked on to advance their careers.

4. DaisyChain Rights and Usages
A. Usage of Materials During Delivery of Services
DaisyChain maintains the worldwide right, licence, and discretion to sublicense, in order to access, use, reproduce, modify, publish, distribute, disseminate, perform, transmit, display, store, index and archive the Materials and the completed publication (“the Book”), solely as necessary in the delivery of Services. Specifically, the Client acknowledges that DaisyChain will:

(i) Market and sell the Book in print, digital, ebook, and audiobook form, directly and through third-party vendors, distributors, retailers and other electronic channels (“3P Channels”) and via DaisyChain’s own website, social media profiles, podcasts and any other owned platforms (“Platforms”).

(ii) Use any length of excerpts from the Book on DaisyChain’s Platforms and 3P Channels to facilitate the marketing and sale of the Book.

(iii) Publish pertinent information about the Client, the Book, and its authors on DaisyChain’s Platforms and 3P Channels, including but not limited to the book title, cover, description, or summary; company logo(s), tagline(s), name, and staff names; author names and biographies; any corresponding images or photographs; testimonials and reviews.

(iv) Require that the Book contain, or not contain, certain DaisyChain logos, taglines, images, marks or attributions.
B. Ownership of Production Files
Files, and the corresponding file formats, created by DaisyChain during the delivery of Services include, but are not limited to, Indesign, Illustrator, Photoshop, Canva, print-ready pdf, .epub, .mobi, mp3, .pdf, .indd and other necessary software and file formats (the "Production Files"). Production Files are the express property of DaisyChain; the Client owns no rights to them unless an exemption is granted in the Agreement. DaisyChain agrees to use all Production Files solely for the purpose of providing Services.
C. Copyright and Intellectual Property
DaisyChain is the owner of DaisyChain Legacy Publishing services, including all methodology, resources and intellectual property rights (other than the Materials) related to or used in connection with the performance of the Services. DaisyChain owns the trademarks, design marks, trade dress, domain names, service names, logos and associated designs used in connection with its company, operations and services ("DaisyChain Trademarks"). Any use of DaisyChain Trademarks is strictly prohibited without written permission by DaisyChain.

D. Feedback
DaisyChain shall exclusively own any suggestions, comments, reviews, survey data and other feedback (”Feedback”) submitted by the Client, its Project Coordinator and/or any other representative, whether anonymously or not, regarding the Services, processes, or publications produced by DaisyChain. The Client agrees that DaisyChain shall have the unrestricted right to use, copy, modify, publish, disclose, distribute, licence, sublicense, incorporate into its services, and create derivative works of, any Feedback or any ideas or materials contained in or resulting from any Feedback, for any and all commercial and non-commercial purposes at its discretion in perpetuity, without compensation, attribution or other obligation to you or to any other party.
E. Digital and Electronic Materials
During the delivery of Services, the Client will provide DaisyChain with Materials in digital and electronic versions whenever possible. The Client will provide such Materials as copies of originals whenever possible. The Client will retain its own original Materials. Following the completion Services, DaisyChain will not store or retain any Materials provided by the Client unless requested to do so in writing. DaisyChain will delete and destroy any such Materials, with the exception of Production Materials as listed in Section 4.B. above. DaisyChain will not be responsible for any lost or damaged materials.

5. Distribution
A. Distribution Model
“Distribution” refers to the process of making print-on-demand and digital books, ebooks, and audiobooks; offering such products for sale; and, fulfilling orders through 3P Channels.
B. Managed Distribution
DaisyChain will manage all aspects of the distribution of the Book via appropriate 3P Channels, until the publication is achieved and the project is complete. DaisyChain will ensure files submitted to 3P Channels meet all necessary requirements. DaisyChain will recommend appropriate pricing for the Book and will provide the Client’s Project Coordinator with information regarding submitting metadata on each 3P Channel.
C. Distribution Set Up Costs
DaisyChain will pay the Set-up Fee and Extended Ebook Distribution fee charged by IngramSpark, one of the publishing platforms used by DaisyChain in the delivery of Services. The fees for IngramSpark are included in the price paid for the Services as set out in the Agreement.

D. Third Party Channels
DaisyChain may engage 3P Channels (e.g. Amazon) for the purposes of publishing, marketing, printing, distributing and selling the Book. DaisyChain is not responsible for errors or omissions by any 3P Channels, and does not provide any warranties, representations, endorsements, approvals or verification of any services provided by 3P Channels. Services provided by 3P Channels may be subject to additional terms and conditions; DaisyChain will endeavour to advise the Client of such terms as it becomes aware of them.
E. Book Pricing
3P Channels may allow DaisyChain to set a “Suggested Retail Price” following the publication of the Book on their platform. The Suggested Retail Price does not necessarily dictate the final price at which 3P Channels and retailers may sell the Book, should DaisyChain wish to continue to offer it for sale to the general public following the delivery of Services. The final price is determined at the sole discretion of 3P Channels and retailers.
F. Market Access Fees
3P Channels may charge market access fees as a condition of distributing a book. Market access fees are over and above fees charged by DaisyChain for the delivery of Services. Such fees may be collected by DaisyChain from the Client and remitted to the appropriate Channel; or, they may be paid directly by the Client to the 3P Channel, as preferred by the Client.
G. International Standard Book Numbers
As part of a Book Agreement, DaisyChain will secure International Standard Book Numbers (“ISBNs”) for all book formats purchased. However, Clients may elect to provide their own ISBNs, if they prefer, if it is appropriate in the circumstance, and if no legal, technical or other material reason precludes it.
H. Legal Depository Compliance
DaisyChain will ensure compliance with book depository requirements in Canada. Clients located outside of Canada should familiarize themselves with and adhere to the legal depository obligations applicable to them. DaisyChain Legacy Publishing is not liable for any failure on the part of the Client to meet these requirements.

6. Royalties
​
Daisychain will retain all royalties in connection with the management and sale of any Books sold on its 3P Channels.
​
7. Payments and Refunds
​
A. Fees and Currency
Fees for Services (“Fees”) are due and payable as per the signed Agreement and subsequent invoice. Additional charges are invoiced when incurred, and are due within 30 days from the date of invoice. DaisyChain retains the right to decline or delay the provision of services for which payment is not received. Unless otherwise specified in the Agreement, invoices are delivered and payable in Canadian Dollars (CAD), based on DaisyChain’s country of residence.
B. Late Payment
Payments received later than 30 days from the date of invoice are subject to interest at the rate of 10% per year, compounded monthly, or the maximum rate permitted by law, whichever is lower. Interest will be calculated from the payment due date until the date of receipt by DaisyChain.
C. Refunds
Fees are refundable only under the conditions listed below. All refunded monies are subject to prepaid expenses, disbursements, and payments to 3P Channels, software, platforms and any partner services utilised in the delivery of Services. Refunds will be issued within 30 days of receipt in writing of notice to terminate the Agreement or Services covered under the Agreement.

(i) Termination by DaisyChain: If DaisyChain terminates the Agreement or any portion of the Services, DaisyChain will refund to the Client the portion of prepaid Fees relating to Services listed in the Agreement that have not yet begun as of the date of termination. DaisyChain may provide partial refunds on a pro rata basis for partially completed Services, at its sole discretion.

(ii) Termination by the Client: Following the submission of instructions, documents, interviews, and any collateral that would reasonably form part of the delivery of Services, the Client may request a termination of the Agreement and a refund of any payments within 30 days of signing an Agreement. DaisyChain will refund the Client 50% of payments made, less any expenses as listed above; or, in the absence of the submission of instructions, documents, interviews, and any collateral that would reasonably form part of the delivery of Services, the Client may request a termination of the Agreement and a refund of any payments within 30 days of signing an Agreement. DaisyChain will refund the Client 100% of payments made, less an administrative fee of $500 and any expenses as listed above.

8. Client Warranties, Responsibilities, and Indemnity
A. Representations and Warranties
The Client is solely responsible for the Materials it provides to DaisyChain, including Materials it owns and Materials it provides on behalf of individual authors. The Client is solely responsible for the content contained in all formats of the published Book. The Client represents and warrants to DaisyChain that:

(i)It is the sole owner of all provided Materials, except when it has express permission to act on behalf of the owner of any provided Materials.

(ii) It has obtained all necessary permissions, rights and licences required for the use and publication of any particular Materials, be it in the Book or by DaisyChain in the delivery of Services.
-
(iii) None of the provided Materials are illegal, obscene, defamatory, slanderous, libellous or contain hate speech.
-
(iv) None of the provided Materials contain any recipes, formulae, instructions, advice or recommendations that are harmful, or contain the potential to cause damage, injury or death to any person, animal or thing.

(v) In the delivery of Services, DaisyChain will not infringe upon or misappropriate the rights of any third party, including copyright and intellectual property rights pertaining to, design, privacy, contractual or publicity rights.

(vi) It has full power and authority to enter into and perform the Agreement, and to grant DaisyChain licence to deliver Services.

(vii) The Agreement does not conflict with any arrangements, understandings or agreements with a third party;
-
(viii) Services and publications will be used only for lawful purposes in a manner consistent with these Terms and any applicable rules, policies, licences and guidelines established by DaisyChain for the delivery of Services, including communications and collaboration protocols, resources, tools and templates invoked by DaisyChain from time to time.

(ix) Without limitation, Services and publications will not be used to engage in conduct that would constitute a criminal or quasi-criminal offence, or that would give rise to civil liability, or that would otherwise violate any applicable local, provincial, state, federal or international law, or the rights of any person.

(x) DaisyChain’s services, personnel, resources or tools will not be used or attempted to be used for the purpose of gaining access to any person’s information, or for the purpose of making public otherwise private information. Nor will DaisyChain’s services, personnel, resources or tools be used to transmit information or digital files containing electronic worms, viruses, Trojan horses or other disruptive components.

(xi) The Client acknowledges that final approval of all aspects of the Book, including but not limited to, written chapters, images, and cover art rests with them. The Client agrees that DaisyChain will not be held responsible for errors or omissions found after the Book has been published.
B. Indemnity
The Client agrees to defend, indemnify and hold DaisyChain, its affiliates, distributors, channel partners and licensors, and each of their respective officers, partners, directors, employees and agents, harmless from and against any and all claims, actions or demands, and, without limitation, reasonable legal and accounting fees resulting from or related to:

(i) The Materials, or other provided data or information.
-
(ii) A violation of these Terms, including any representation and warranties.

(iii) A violation of any third party right, including, without limitation, any intellectual property, privacy or proprietary right, or obligation of confidentiality.
-
(iv) Injury or damage to DaisyChain or to any third party as a result of the purchase or use of the Book or its contents. The Client will cooperate with DaisyChain in the defence of any claim. DaisyChain reserves the right, at our own expense, to assume the exclusive defence and control of any matter subject to indemnification by the Client.
9. DaisyChain Limited Warranty
A. Limited Warranty
DaisyChain warrants the delivery of Services will be performed in a good and professional manner, consistent with prevailing industry standards. The remedy for a breach of this warranty shall be either the re-performance of deficient Services, or a refund of fees in accordance with Section 7.C. above.
B. Disclaimer Of All Other Warranties
Use of DaisyChain Services is at the sole risk of the Client. Services are provided on an “as is” and “as available” basis to the maximum extent permitted by applicable law, except as provided in section 9.A. above. Daisychain expressly disclaims all warranties of any kind, whether implied, statutory or otherwise, including but not limited to, all warranties of merchantability, fitness for a particular purpose or by a particular date and non-infringement. Without limiting the generality of the foregoing, Daisychain expressly disclaims that delivery of Services will:
-
(i) Meet preconceived expectations or satisfy requirements not expressly set out in the Agreement.

(ii) Always be available, accessible, uninterrupted, secure, timely, accurate, complete, or error-free. And/or that all errors or defects will always be corrected..
-
(iii) Result in a complete, reliable or useful end.

10. Limitation of Liability
A. The Client agrees that, to the maximum extent permitted by applicable law:
-
(i) DaisyChain’s aggregate liability for all claims of any kind, including any claims pertaining to the Agreement, the Services, or these terms, whether by statute, contract, tort, or any form of liability, will not exceed the amount of fees actually paid by you for the services to which the claim is being made.
-
(ii) DaisyChain will not be liable for any indirect, incidental, special, consequential or exemplary damages of any kind, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if DaisyChain has been advised of the possibility of such damages), resulting from or related to the Services.
B. The Client acknowledges that the purpose of this section is to allocate the risks between the parties and limit their potential liability given the fees charged under this Agreement, which would have been substantially greater if DaisyChain were to assume any further liability other than as set forth herein.
C. The Client acknowledges and agrees that if dissatisfied with or harmed by the delivery of Services, the sole remedy will be to discontinue use of the services and terminate this agreement in accordance with section 13.

11. Communications Between The Parties
A. Respectful Manner
The parties agree to communicate with each other in a calm and respectful manner to ensure the success of the delivery of Services. DaisyChain will not accept abusive behaviour towards, or by, any members of its team. Both parties agree to the complex nature of publishing a book and agree to govern themselves accordingly.
B. Recordings
The Client acknowledges that DaisyChain may record telephone and video conversations during the delivery of Services. The Client agrees that recordings may be used to improve our services; for training purposes; to ensure quality; to provide a record in the case of a dispute; or, to ensure that DaisyChain complies with its legal requirements. Recordings will be protected in accordance with our Privacy Policy.
12. Privacy
DaisyChain’s Privacy Policy, available here, is applicable to the collection, use and disclosure of personal information during the delivery of Services. The Privacy Policy is incorporated by reference into these Terms. Client’s are required to read and be familiar with the Privacy Policy.

13. Termination
A. Expiry
Unless otherwise agreed to by the parties to the Agreement, all Services, including any unused Services, shall expire and be deemed completed two (2) years after the date on the initial invoice. An extension, at an additional fee, may be negotiated between the parties. Any Distribution services will continue for a minimum period of two (2) years from the date the book is approved for distribution by 3P Channels. Following two (2) years of distribution, DaisyChain may elect to continue distributing the Book for as long or as little as it prefers, unless terminated by either party.
B. Termination by The Client
The Client may terminate the Agreement at any time and for any reason by providing written notice to DaisyChain at daisychainlegacypublishing@gmail.com. Termination of the Agreement will take effect seven (7) business days after written acknowledgement of the notice is sent to the Client by DaisyChain. The following terms apply to a termination of the Agreement:

(i) No refunds for any and all Services delivered before the effective date of termination will be provided to the Client.

(ii) All amounts owing to DaisyChain for Services delivered before the date of termination takes effect shall become due and payable immediately.

(iii) Any refundable monies owing to the Client will be issued per Section 7.C. above.

(iv) DaisyChain retains the rights to all Books published at the time of termination. DaisyChain maintains sole discretion to determine suitability of the need to notify any 3P Channels utilised in the delivery of Services to request they cease production and sale of the Book following termination.

The Client acknowledges that DaisyChain’s agreements with 3P Channels (“Channel Agreements”) may require distribution periods that exceed the duration of the Client’s Agreement with DaisyChain. In such an event, 3P Channels have the right to continue distributing the Book as specified in the Channel Agreement.

The Client agrees to the possibility of previously sold copies continuing to be resold by individual purchasers, even after 3P Channels have ceased selling the Book; and, some listings, advertisements, previews, excerpts or other references to the Book may continue to be seen on the Internet in perpetuity. DaisyChain does not control, and cannot be responsible for, the acts or omissions of any 3P Channel

Sections 3, 4.B - 4.E., 7, 8, 9, 10, 13.D., 15 above will survive termination or expiry of the Agreement in accordance with their terms.
C. Termination by DaisyChain Legacy Publishing
DaisyChain may terminate the Agreement, or the delivery of any part of the Services, at any time for any reason, upon written notice to Client sent to the email address provided. Such termination will be effective at the time the notice is delivered, or at another time as specified in the notice. Any refunds owing to the Client will be processed according to section 7.C.(i) above.

14. Governing Law and Dispute Resolution
​
These terms are governed by the laws of the Province of British Columbia, Canada, where DaisyChain was first registered and where at least one of its Principals reside. Should any issues or dispute resolution arise that are not specified in these terms, the corresponding governing laws in British Columbia shall prevail.
15. General
A. Right to Refuse to Provide Services
DaisyChain will not be obliged to publish a Book or deliver Services if, in its sole opinion, to do so would be illegal, immoral or unethical, inflammatory, or would constitute a violation or infringement of any party’s dignity, intellectual property or privacy rights. Without limitation, DaisyChain reserves the right to refuse to publish any book which, in its sole opinion, contains objectionable, vulgar, abusive, defamatory, libellous, racist, sexist or obscene material, or promotes hate, violence or illegal activity. If DaisyChain refuses to provide any services, DaisyChain’s sole liability shall be as set out in Section 9 above.
B. Changes to These Terms
DaisyChain reserves the right to modify, supplement or replace these Terms, effective thirty (30) days from notifying the Client of the change. Continued use of the Services following notification means that the Client accepts and agrees to such changes. Unless required by law, and with the exception of Section 13. A., changes to the Terms will not apply to any Services performed prior to the date the change came into effect.
C. Confidentiality
“Confidential Information” means any DaisyChain information that is reasonably considered in the circumstances to be confidential or proprietary, including but not limited to methodology, instructions, consultation materials, trade secrets, software, specifications, designs, plans, drawings, data, prototypes, discoveries, research, developments, processes, procedures, intellectual property, market research, marketing techniques and plans, templates, business plans and strategies, pricing and other financial information, and any other business and/or technical information and materials, whether in oral, written, electronic, graphic or digital form. The Client agrees to keep the Confidential Information in strict confidence, and to not use or disclose it for any purpose other than as required in the delivery of Services.
D. Force Majeure
Neither party will be liable for delay or failure in performance (other than the making of payments) resulting from any cause beyond their reasonable control (including but not limited to acts of God, acts of war, riot, fire, flood or other disaster, acts of government, strike lockout, power, telecommunication, or third party service failures) when such events or conditions prevent the performance of its obligations under this Agreement, or which renders the performance of such obligations so difficult or costly as to make it commercially unreasonable.
E. Assignment
The Client may not assign any rights or obligations under the Agreement without the prior written consent of DaisyChain. DaisyChain may freely assign its rights and obligations under the Agreement, either in part or in full, without notice to the Client.
F. Notice
DaisyChain may communicate with the Client about this Agreement, its Terms, or the delivery of Services, including any changes to the Terms, using the email address provided by the Client or by other such reasonable means, if the Client is not available nor is responding via email. Unless expressly prohibited by law, the Client consents to receiving such communication electronically, and agrees that all discussions, emails, attachments, documents, notices, waivers, agreements, and disclosures sent via email satisfy any legal requirements pertaining to written communication and notice in writing. For communication purposes, DaisyChain’s email address on record is daisychainlegacypublishing@gmail.com, at which it is open to receive all written communication.
G. Nature of Relationship
Nothing in this Agreement, its Terms, or the delivery of Services will create or be deemed to create any partnership, joint venture, agency, franchise or other business relationship between the Client and DaisyChain. The Client and DaisyChain will, at all times, be and remain independent contractors.
H. Severability
The provisions of these Terms are severable. If any individual provision is held to be invalid, unenforceable or contrary to applicable law, such provision shall be construed, limited, altered or deleted, as necessary, to eliminate the invalidity, unenforceability or conflict with applicable law while endeavoring to preserve the intention of these Terms, and all other provisions shall remain in full force and effect.
I. Waiver
Failure by DaisyChain to exercise or enforce any right or remedy under these Terms does not constitute a waiver of such right or remedy.
J. Entire Agreement
These Terms (including all materials incorporated by reference), the Privacy Policy, the signed Agreement, and all invoices for the delivery of Services constitute the entire agreement between the Client and DaisyChain governing the purchase, delivery and use of Services.
Appendix A to Terms And Conditions
1. Design and Formatting

A member of the DaisyChain graphic design team will create a unique full-cover layout for each Book, consistent with the overall themes of the Book and its individual chapters. Full-cover layout includes the front cover, spine, and back cover. Following provision of the first draft, DaisyChain will give Clients an opportunity to provide feedback on design matters. DaisyChain designers will lay out and typeset the book’s interior, ensuring consistent formatting and styling across chapters, with appropriate spacing, typefaces, and font sizes. Images and illustrations, if applicable, will be laid out appropriately. DaisyChain ensures a high standard of formatting throughout the book, following the guidelines and requirements of various 3P Channel distributors. DaisyChain reserves the right to make all final decisions on design matters.

2. Image Specifications
​
Scanned and digital photos should be submitted to DaisyChain as 300 dots per inch, and be as close as possible to 2 inches wide x 3 inches high (others sizes may be acceptable upon approval by DaisyChain). Physical photos may be accepted, upon approval, but may be subject to an additional fee of $50 per photo should manipulation of the image be necessary.

3. Distribution
​
DaisyChain uses IngramSpark as a distribution partner. All packages include print-on-demand paperback distribution, allowing the Book to be available to popular retailers like Amazon, Chapters/Indigo, and Barnes & Noble to include in their online platforms. Additional options for distribution include IngramSpark’s hardcover distribution; Amazon Kindle’s eBook; Chapters/Indigo’s Kobo; Apple Books’ Smashwords; and, Barnes & Noble’s Nook. 4. Print-on-Demand
​
Print-on-demand technology allows publishers and authors to sell books globally without having to fulfil minimum orders or carry a physical inventory of books. Books are printed and shipped only after a customer purchases one or more online. As part of the delivery of Services, DaisyChain will use its own profile with IngramSpark to make the Book available to online retailers in paperback format.
5. Why trust DaisyChain?
A. Writing Coach
During the process of procuring each chapter/story, a DaisyChain team member will work directly with the Client to collect and collate their story. DaisyChain allows up to two hours per Client to discuss strategy, themes, and story hooks; and allows up to four hours for guidance, one-on-one conversations, online or phone interviews, and review of question & answer submission or written content.
B. Editing
DaisyChain team members will carefully edit each manuscript before publication, with a view to sense, logic, believability, and meaning within the broader scope of consistency between chapters and overall agreed-upon themes. DaisyChain’s approach is supportive and diplomatic, offering expert advice and encouragement to the authors. Once the final draft is provided by the Client, three rounds of edits are allowed for each author.
C. Marketing and Publicity
The main purpose for individuals participating in a collaborative memoir is to leave a legacy for friends and family. However, DaisyChain does offer a limited amount of marketing and publicity as part of the delivery of Services for each Book. This may include interviews on podcasts, DaisyChain’s website, social media posts, local press releases, local events, speaking engagements, etc.
D. Printing
DaisyChain partners with high quality Canadian printers to obtain the best value for Clients. Clients have the option to print any number of books at competitive prices, if they want more copies than what is included in their package.

Additional Services and Fees

From time to time, services may be requested by the Client or required by DaisyChain that are in addition to what is in the Agreement. Such services have extra fees attached to them, as explained below. In the event that a service is requested or required that is not listed here, the Parties are free to come to an agreement in writing regarding the delivery, fee, and payment terms of such service. Refer to Appendix C below for a concise list of DaisyChain fees.
A. Editing and Proofreading

Editing processes are included in the delivery of Services per Section 5. B. in Appendix A to the Terms and Conditions. Book chapters are allowed to be between 3000 - 5000 words in length after the final edit. DaisyChain reserves the right to limit the word count of raw content provided by the Client on behalf of individual authors; and, may charge an additional fee of $0.50 per word for editing processes when raw content exceeds 5000 words per chapter.
B. Cover Design
Cover design services are included in the delivery of Services per Section 1. in Appendix A to the Terms and Conditions. DaisyChain selects cover design images from collateral it owns or platforms it has access to. If the Client requests revisions to the cover design beyond the three rounds included in the delivery of Services, they will be invoiced at a rate of $50.00 per round. If the Client requests image manipulation beyond the scope of the Services, especially if images provided do not match the criteria set out by 3P Channels, the Client will be invoiced $50.00 per image.
C. Interior Layout
Interior layout of the Book is included in the delivery of Services, and allows for two rounds of minor revisions. If the Client requires additional revision rounds, the Client will be invoiced for them at a rate of $50.00 per round. Interior layouts that go beyond the standards followed by DaisyChain may be subject to additional fees. In the event that the Client requires corrections, additions or deletions to the content of a book mid-way through the layout process, a re-layout fee will be invoiced to the Client, per the third party partner who completes the work.
D. Images
Up to two images per chapter in the Book is included in the package. Should the Client, or any individual author, request inclusion of additional images, the Client will be invoiced at a rate of $50.00 per image. If the Client provides poor quality images which require manipulation in order to be publication-ready, the Client will be invoiced at a rate of $50.00 per image.
E. Marketing and Publicity
Marketing and publicity services are included in the purchased package as per Section 5.C. in Appendix A to the Terms and Conditions. Should the Client request additional marketing for the Book, DaisyChain will offer it at an hourly rate of $75.00, plus any necessary disbursements.
F. Complimentary Copies
The Client will receive five (5) complimentary copies of the published Book. One copy of the printed Book has a value of up to $25.00. If the Book is large, full colour, has a high page count, is costly to ship, or is otherwise outside of the value of up to $25.00 per copy, such charges will be invoiced back to the Client.
G. Printing Services
DaisyChain provides 3P printing services and determines the rates for such printing, reflecting current business and market conditions. These rates are unrelated to those used when the Book sells through print-on-demand trade channels. DaisyChain may update its printing rates at any time, without notice to the Client.

(i) Print-ready files: Should the Client wish to print more copies of the Book than what is provided in the purchased package, the Client is required to print them via DaisyChain’s selected 3P Channel at the posted current rates, or through print-on-demand services.

(ii) Print quality issues: DaisyChain has the sole discretion regarding issuing a reprinting of the Book in the event of a major error, such as missing pages, incorrect page order, incorrect content, etc. The Client must contact DaisyChain in writing within 45 days of receiving the Book to request a reprint for DaisyChain to consider. Minor errors, such as spelling or grammar mishaps, or any issues deemed to not affect the readability and saleability of the Book, do not warrant a reprint.

(iii) Proof copies: DaisyChain does not require the Client to order a printed proof; however, the Client may choose to do so at an additional cost that will vary by printer and book type. The Client acknowledges that bindings, paper and ink quality of proof copies may differ from that of the main book order.
H. Changes to the Services
From time to time, DaisyChain may update details or features in the delivery of Services, including how Services are delivered to the Client. DaisyChain reserves the right to make reasonable substitutions of equivalent value at its sole discretion.
